1. Definitions

- "User", "you", "your" — refers to any individual or organisation accessing our website or engaging our services.
- "Services" — refers to the consulting services offered by Orchid Peak, including Innovation Pipeline Development, Workforce Planning Model, and Pricing Strategy Review.
- "Agreement" — refers to these Terms and Conditions, together with any engagement letter or scope document agreed in writing.
- "Website" — refers to the Orchid Peak website accessible at oorchidpe.pro.
2. Acceptance of Terms
By accessing our website or submitting an enquiry, you confirm that you have read, understood, and agree to be bound by these Terms and Conditions. If you do not agree, please do not use our website or engage our services.
You must be at least 18 years of age and have the legal capacity to enter into a binding agreement. Use of our website or services on behalf of a company constitutes a representation that you have the authority to bind that organisation to these terms.
3. Service Description
Orchid Peak provides business consulting services to organisations based in or operating within Hong Kong and the Greater Bay Area. Our three core service disciplines are:
- Innovation Pipeline Development — building and governing structured innovation processes
- Workforce Planning Model — aligning workforce capacity with future business requirements
- Pricing Strategy Review — analysing and recommending pricing models and architectures
Service availability is subject to capacity and fit. Orchid Peak reserves the right to decline any engagement at its discretion.
4. Enquiries and Engagement Process
Submitting an enquiry via our website does not create a contractual obligation on either party. A formal engagement commences only when both parties have agreed on the scope, fee, and timeline in writing through a signed engagement letter or equivalent written confirmation.
Initial scoping conversations are provided at no charge and without obligation.
5. User Responsibilities
When using our website or engaging our services, you agree to:
- Provide accurate and complete information when submitting enquiries or entering into engagements
- Not use our website for any unlawful purpose or in any way that could damage, impair, or overburden it
- Not attempt to gain unauthorised access to any part of our website or systems
- Cooperate reasonably with Orchid Peak during any engagement, including providing timely access to information and personnel as agreed
6. Intellectual Property
All content on this website — including text, design elements, and structure — is the property of Orchid Peak and is protected under applicable intellectual property laws. You may not reproduce, distribute, or use this content commercially without our prior written consent.
Deliverables produced during a consulting engagement are provided to the client for their internal use. Orchid Peak retains ownership of underlying methodologies, frameworks, and templates. Clients may not resell or sub-license deliverables without written consent.
7. Payment Terms
Fees for consulting services are agreed in writing as part of the engagement letter. Our published price ranges are indicative; the final fee is determined following a scoping discussion and confirmed before work commences.
- Invoices are issued in Hong Kong Dollars (HKD) unless otherwise agreed
- Payment terms are specified in the engagement letter (typically 30 days from invoice date)
- A deposit may be required for new client engagements
- Fees do not include VAT or GST, as these are not currently levied on consulting services in Hong Kong
8. Cancellation and Scope Changes
If a client cancels or suspends an engagement after work has commenced, fees for work completed to that point remain payable. Any changes to agreed scope must be discussed and confirmed in writing before additional work proceeds.
9. Confidentiality
Both parties agree to keep confidential any non-public information disclosed during or in connection with an engagement. This obligation continues for a period of three years following the conclusion of the engagement. A separate mutual non-disclosure agreement is available upon request prior to any substantive information sharing.
10. Disclaimers
Our website and its content are provided for informational purposes only. While we aim to keep information accurate and current, we make no representations about its completeness or suitability for any particular purpose.

11. Limitation of Liability
To the extent permitted by applicable Hong Kong law, Orchid Peak's total liability to a client arising from or in connection with any engagement shall not exceed the total fees paid by that client for the specific engagement giving rise to the claim.
Orchid Peak shall not be liable for indirect, incidental, or consequential losses, including loss of profits, business opportunity, or revenue, even if we have been advised of the possibility of such losses.
12. Indemnification
You agree to indemnify Orchid Peak against any claims, losses, or costs (including reasonable legal fees) arising from your breach of these Terms, your misuse of our website, or any inaccurate information you have provided to us in connection with an engagement.
13. Termination
Either party may terminate an engagement by giving written notice as specified in the engagement letter. On termination, fees for work completed remain payable. Obligations of confidentiality and intellectual property survive termination.
14. Governing Law and Dispute Resolution
These Terms are governed by the laws of the Hong Kong Special Administrative Region. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Hong Kong.
Where a dispute arises, both parties agree to attempt resolution through good-faith discussion before initiating formal legal proceedings.
15. General Provisions
- Entire Agreement: These Terms, together with any applicable engagement letter, constitute the entire agreement between the parties regarding its subject matter.
- Severability: If any provision is found to be unenforceable, the remaining provisions continue in full force.
- Waiver: Failure to enforce any provision does not constitute a waiver of the right to enforce it subsequently.
- Assignment: These Terms may not be assigned by you without Orchid Peak's prior written consent.
16. Changes to These Terms
We may update these Terms from time to time. The revised version will be published on this page with an updated effective date. Continued use of our website or services after changes are posted constitutes acceptance of the updated Terms.
